Lottomatica and CIRSA: A Billion-Euro Merger That Could Reshape the Global Gaming Industry

Lottomatica and CIRSA approve a merger plan targeting a 2027 closing. Here are the share exchange, dividends, synergies, risk

Lottomatica and CIRSA are moving closer to a major corporate combination that could significantly change the competitive landscape of the international gaming and sports-betting industry. The boards of both companies have approved a common merger plan under which Spain's CIRSA Enterprises would be absorbed into Italy's Lottomatica Group. The strategic objective is to build a larger international operator, strengthen digital gaming operations and create a business with greater scale across several markets.
The announcement is important, but one distinction matters from the outset: the merger has not yet been completed. The boards approved the plan on October 8, 2026, and shareholder meetings are scheduled for late November. The companies currently expect the transaction to close in the second quarter of 2027, subject to shareholder approval, regulatory clearances and the other conditions set out in the merger documents.
The deal is therefore entering a critical stage. Its financial ambitions are substantial, but investors will need to distinguish between announced targets and results that have actually been achieved.

What the transaction involves

The proposed transaction is a cross-border merger by absorption, with CIRSA being incorporated into Lottomatica. The combined company is expected to retain the Lottomatica name and its headquarters in Rome, while Barcelona remains an important base for the Spanish business.
The two companies bring different strengths to the table. Lottomatica has established itself as a major player in Italy, with a significant digital gaming and betting operation. CIRSA has a broader international footprint and a substantial land-based business involving casinos, gaming halls and other gaming activities. Combining them would give Lottomatica access to additional countries and business lines, while potentially giving CIRSA better opportunities to develop its online operations.
The transaction was first announced on September 2, 2026. Since then, the companies have moved from the initial agreement to the formal merger plan, which defines the proposed structure and the terms that shareholders are being asked to consider.
The headline figures require some care. CIRSA's implied value in the all-share transaction has been reported at approximately €2.8 billion to €3 billion, depending on the valuation reference used. The much larger figure of around €13 billion sometimes cited for the combined group includes debt and reflects a different measure of enterprise value. Meanwhile, the €34 billion figure refers to the estimated addressable market, not the price paid for CIRSA. These numbers describe different things and should not be treated as interchangeable.

The timetable: what happens next

The boards of Lottomatica and CIRSA approved the common merger plan on October 8. According to the announced timetable, Lottomatica's shareholders are expected to vote on November 23, 2026, while CIRSA's shareholders are expected to meet on November 25 and 26.
If the required approvals are obtained and the remaining conditions are satisfied, the companies expect to complete the merger in the second quarter of 2027. Until then, the transaction remains a proposal moving through its corporate and regulatory stages.
The regulatory process is particularly important because the companies operate in a sector governed by national licensing systems and competition rules. The businesses have reported submitting regulatory notifications in several jurisdictions, including Italy, Spain, Mexico and Morocco, alongside other required filings. Submitting a notification is not the same as receiving final approval: the relevant authorities must still assess the transaction under the rules that apply to them.
For investors, the next milestones are therefore clear: shareholder votes, regulatory decisions, further company disclosures and confirmation that the transaction can proceed on the expected timetable.

How the share exchange works

The transaction is structured as an all-share combination rather than a conventional cash purchase of the entire business. Under the announced terms, CIRSA shareholders are to receive 0.668 new Lottomatica shares for each CIRSA share covered by the merger.
This exchange ratio determines how the ownership of the combined company will be distributed. Instead of paying the entire consideration in cash, Lottomatica will issue shares as part of the absorption, changing the composition of its shareholder base.
The exchange ratio has been reviewed by BDO Auditores, which was appointed as an independent expert. Its report addressed the fairness of the exchange ratio and the adequacy of the cash consideration associated with the exit right described in the transaction documentation.
Blackstone, CIRSA's controlling shareholder before the transaction, is expected to hold approximately 24% of the combined group and to have the right to designate two board members under the announced arrangements. This would make Blackstone the largest individual shareholder, but not the owner of an outright majority. The future governance structure will depend on the final transaction documents and the company's applicable corporate rules.

Dividends and the promise of shareholder returns

One of the most closely watched aspects of the deal is the proposed return of capital to shareholders. CIRSA is expected to distribute a special dividend of approximately €262 million as part of the transaction structure.
Separately, Lottomatica has outlined an ambition to return up to €4 billion to shareholders over three years through dividends and share buybacks. That figure is a forward-looking target, not money that has already been distributed or an unconditional guarantee of future payments.
The ability to deliver those returns will depend on the combined group's cash generation, debt levels, operating performance, financing conditions and future corporate decisions. Dividends and buybacks also compete with other uses of capital, including investment in technology, expansion into new markets and debt management.
Investors should keep the special CIRSA dividend separate from the broader three-year capital-return plan. They are different elements of the transaction, and combining them into a single figure without explaining their nature could produce a misleading picture of the financial flows involved.

The expected synergies: €115 million a year

Lottomatica and CIRSA have indicated that the combination could generate approximately €115 million in annual pre-tax synergies once the benefits are fully implemented. Such savings could come from operating efficiencies, shared services, purchasing power, technology, marketing and the removal of duplicated activities.
Synergies are a common feature of large mergers, but they do not materialise automatically. The companies must integrate systems, processes and teams without disrupting day-to-day operations. Some savings may require upfront spending, and the timetable for achieving them may be slower than initially expected.
Lottomatica has also identified a potentially larger growth opportunity in CIRSA's online business. The Italian group estimates that improving the digital operation could generate an additional €200 million to €300 million in EBITDA at run rate by the third year after closing.
EBITDA measures operating performance before interest, taxes, depreciation and amortisation. It is not the same as net profit, free cash flow or the amount available to shareholders. The projected increase is also a company target, not a result that has already been delivered.
The digital opportunity is central to the industrial logic of the deal. Lottomatica has developed its online capabilities, while CIRSA has a stronger historical emphasis on physical gaming venues. Applying more advanced digital tools and platforms to CIRSA's business could improve its performance, but the outcome will depend on execution, investment and customer response.

Why Spain and international markets matter

For Lottomatica, CIRSA offers a way to expand beyond a business model heavily weighted towards Italy. The Spanish company operates across multiple countries and combines casinos and gaming venues with betting and other gaming activities.
That geographic spread could make the combined group less dependent on the economic and regulatory conditions of a single market. It could also create opportunities to share expertise, technology and operational practices across countries.
However, international expansion brings complexity as well as opportunity. Gaming rules vary widely from one jurisdiction to another, and each market may have its own licensing, advertising, consumer-protection and tax requirements. A strategy that works well in Italy cannot simply be copied unchanged into every other country.
The two companies also have different operating profiles. Lottomatica's digital business is a major source of earnings, while CIRSA has a significant land-based operation. The proposed combination therefore involves more than increasing revenue: it requires the group to integrate two business models and find ways to improve performance without weakening the strengths that made each company successful.

The risks behind the growth story

The most obvious risk is execution. Bringing together businesses operating in different countries, with different technology platforms and different commercial structures, can be more complicated than the initial financial presentation suggests.
There may be overlapping administrative functions or systems that need to be consolidated. That does not mean job cuts have been announced or that a restructuring is inevitable. It means that the combined company will need to decide how to organise its operations and deliver the efficiencies it has promised.
Debt is another important factor. Large transactions can place pressure on a company's balance sheet, especially when shareholder distributions and investment plans are pursued at the same time. Investors will need to watch leverage, financing costs and the group's ability to generate cash through different stages of the economic cycle.
There are also regulatory risks. Gaming is a highly regulated industry, and changes to taxation, licensing, advertising restrictions or consumer-protection requirements can affect profitability. The combined company will operate across a wider range of jurisdictions, making regulatory monitoring and compliance more important.
Finally, projected synergies and digital growth are not guaranteed. If CIRSA's online business develops more slowly than expected, or if integration costs are higher than planned, the financial benefits could arrive later or be smaller than anticipated.

Competition and antitrust scrutiny

The merger is not just a financial transaction. Competition authorities must assess how the combined group could affect the markets in which the two companies operate.
Market definition matters. The relevant competitive landscape may differ between online sports betting, online casino games, physical casinos, gaming machines and other services. A large international group does not automatically hold a dominant position in every individual market.
The companies have submitted notifications to several authorities, but the process must be distinguished from the final regulatory outcome. Authorities may approve the deal, request additional information or consider whether conditions are necessary. The outcome depends on their independent assessments.
The sector also carries particular responsibilities towards customers. Legal gaming operators must comply with rules on age verification, licensing, advertising and the prevention of unlawful activity. The development of digital platforms makes effective controls and consumer-protection measures especially important.

What could change for customers and employees?

It is too early to assume that the merger will automatically change betting odds, products, brands or customer accounts. Such decisions would depend on the companies' integration plans, their commercial strategy and any regulatory requirements. Until the transaction closes and the businesses announce specific changes, these questions remain open.
Employees will also be watching the process. Combining organisations can create opportunities for investment and expansion, but it can also reveal duplicated functions or differences in working practices. At this stage, the possibility of operational overlap should not be presented as a confirmed redundancy programme.
For customers, the more meaningful long-term questions concern service quality, reliability, responsible-gaming tools and the handling of personal data. A larger company may have more resources to invest in technology and safeguards, but size alone does not guarantee better consumer protection.
Responsible gaming deserves particular attention. Gambling can cause serious financial and personal harm for vulnerable individuals. Self-exclusion systems, deposit limits, age controls, clear information and effective support mechanisms should remain central to the operation of any large gaming group. Commercial growth should not be treated as the only measure of success.

What investors should monitor

The investment case rests on several factors that will need to be tested over time.
First, the shareholder meetings must approve the transaction and the necessary regulatory clearances must follow. Second, the company must demonstrate that the integration can be completed without excessive costs or operational disruption. Third, the projected synergies and the planned expansion of CIRSA's online business must translate into measurable financial results.
The capital-return plan will also require scrutiny. Dividends and buybacks may be attractive to investors, but their sustainability depends on cash generation and the balance sheet. A large payout target is not sufficient on its own to establish that a merger creates value.
The market's initial reaction after the September announcement was cautious, and Lottomatica shares experienced a notable decline in the first sessions following the news, according to financial reporting at the time. Share-price movements can reflect concerns about valuation, the exchange ratio, debt, execution or the timing of expected returns. They are not, by themselves, a final verdict on whether the deal will succeed.

The next dates to watch

The current timetable points to three key stages:
November 23, 2026: Lottomatica's shareholder meeting.
November 25–26, 2026: CIRSA's expected shareholder meetings.
Second quarter of 2027: the anticipated closing window, subject to the necessary approvals and conditions.
These dates should be checked against subsequent official announcements, since transaction timetables can change.

Conclusion: scale is only the beginning

The proposed Lottomatica–CIRSA merger could create a more international gaming group, combining digital expertise with a large physical network and a wider geographic reach. Its strategic case rests on diversification, technology, operating efficiencies and the opportunity to expand CIRSA's online business.
But the transaction is not yet complete, and its financial ambitions remain targets. Shareholder approval, regulatory scrutiny, debt management and the ability to integrate the two companies will determine whether the promised benefits materialise.
The real test will not be the size of the announcement. It will be whether the combined business can turn its greater scale into sustainable earnings, responsible operations and measurable value for shareholders after the merger is completed.
