The United States Securities and Exchange Commission (SEC) has filed a lawsuit against Binance, its U.S. platform, and CEO Changpeng Zhao (C.Z.) in the District Court for the District of Columbia. The SEC has pressed 13 charges against Binance, including unregistered offers and sales of various tokens and investment products, as well as failure to register its platforms as exchanges or broker-dealer clearing agencies.
The SEC's allegations go beyond those made by the Commodity Futures Trading Commission (CFTC) a few months ago. They include claims of securities violations, commingling of customer funds, wash trading, and questionable independence between Binance and its U.S. subsidiary, Binance—the U.S.
The SEC targets specific tokens and investment products Binance offers, including staking services for popular proof-of-stake tokens.
The SEC alleges that Binance enriched itself while putting investors' assets at risk and engaged in fraudulent activities. The charges also include claims that Binance failed to restrict U.S. investors from using its platform and engaged in wash trading.
The SEC seeks permanent enjoinment, disgorgement of ill-gotten gains, and financial penalties. Binance and Binance.US have responded, stating that the claims are baseless and vowing to defend themselves vigorously. The SEC's allegations against Binance are not new, as an investigation reportedly began in June 2022.
Despite the SEC's efforts, the crypto economy is expected to continue operating and trading on decentralized exchanges.
