Vlad Tenev says if a tokenized product is a separate instrument backed 1:1 by freely transferable shares and doesn’t alter shareholder rights, issuer obligations, or the cap table, issuer consent isn’t needed.
Veto should apply only if rights/obligations or the official ledger change. Comes after AMC’s CEO criticized Robinhood’s tokenized stock offerings.
