The SEC has once again turned the spotlight on the crypto world, this time turning its attention to OpenSea, one of the main NFT marketplaces. The news, which came from Devin Finzer, via a post on X, has shaken the industry and sparked a heated debate.
To be precise, the SEC has sent OpenSea a Wells Notice, which is a formal notice that precedes the initiation of a legal action. The accusation? The SEC claims that many NFTs traded on the platform fall within the definition of "securities", or financial securities subject to regulation. This classification implies that OpenSea, by offering a platform for the exchange of these NFTs, would be operating illegally without the necessary registration.
Why are NFTs considered securities?
The definition of a security is complex and can vary depending on the jurisdiction. However, in general, a security is an investment in which an investor expects a profit from the efforts of others.
The SEC says many NFTs have these characteristics:
- Expectation that their value will increase over time, generating profit.
- Participation in a common project: The purchase of NFTs can give the buyer rights to participate in a project or community, such as the ability to vote on future decisions related to the project itself.
The implications could be multiple. Investors could become more cautious or fearful of purchasing new NFTs, at a time of great uncertainty and with the risk of litigation also for other platforms.
OpenSea has rejected the SEC's accusations, arguing that most of the NFTs traded on the platform are not securities at all and has promised to vigorously defend itself in court and work with regulators to find a solution that allows the sector to continue its development.
