Why Brand Tokens Are Not Securities, Yet Investments

This article claims with reasons, buyers of crypto, can invest in brand tokens without worrying about securities law.

The way for businesses issuing crypto, to free themselves from securities law, was to make sure their tokens are utility tokens. That means, nothing backs the tokens. It is also the reason many projects went bust, without anything making good for lost investments. Securities are backed by assets. It is important to realise though, the assets backing securities, are physical assets. This realisation is important to comprehend what brand tokens are and why securities law does not apply to brand tokens. A brand token is therefore free of the constraints of securities law, but yet contractually backed by assets.

The reasons for the above are technical and at the root of comprehending cryptocurrency. It's partly about idealism/capitalism and materialism/socialism, and philosophy/religion. Comprehending it will clarify reality to a certain extent. Therefore, read on chum.

International Accounting Standards prohibit official bookkeeping about intellectual property, unless it was bought. Intellectual Property may not be put on balance sheets by originators of it. The socialists in control want to see materialist proof. Logical reasoning is not enough for them, because they do not comprehend it. What is the implication of it. It implies, the people who originate the good ideas, capitalism is built on, are excluded from the system. Their ideas are free to appropriate by the "intelligence" system, giving the ideas to close "brothers and sisters" for utilitarian development. If an idea originator does not have the capital, or does not have access to new capital, to develop his/her ideas, s/he loses his/her ideas to others, partly because s/he may not capitalize it on a balance sheet. The banks want to see proof before funding a project. Basically, securities law, is only applicable to assets reflected on balance sheets. The proof, banks want to see.

Think of listed stock companies and people who flourish within the current economic world paradigm. Only purchased assets appear on their balance sheets, because they are close to the money generating system. Printed money, allocated to them, because of privileged positions, is used to buy the assets, they employ others to develop further. Take a listed "stock" company, with a share price of $10 and a net-asset value per share of $6. What is the difference of $4? It is the intellectual property, which may not be recorded, due to all the laws, functioning together with securities law. It is unrecorded assets. With unrecorded, i mean undefined. It just sit on balance sheets of shareholders, without being explained. At least two parties are relevant. On the company's balance sheet the $6 is defined and explained. It is clearly visible what the $6 is. The $10 is also shown on the balance sheet of the shareholder. It is a share in the company. However, the $4 is not officially defined. It is just the difference between $10 and $6, only known by the "intelligence" system, but not officially defined on a balance sheet.

Brand tokens change that. Brand tokens define the $4. The defininitions will grow and expand. It is a new field in capitalist economics. To be more precise it is a new-capitalist field, promoted in the philosophy Intequinism.

Brand tokens represent the originations of businesses or other entities, which were never recorded before, because of the sacrifices it's owners were subjected to. Brand tokens represent a reformation in economics. Brand tokens are part of the future, without fighting about the technology. The technology already exists in the form of cryptocurrencies and blockchains. It must just be developed further.
