Welcome to CryptoGod-1's blog on all things crypto. In this post I will be looking at the recent news of MicroStrategy looking to raise $500 million by offering convertible senior notes maturing in 2032 in an effort to purchase more Bitcoin.
Convertible Senior Notes
MicroStrategy CEO Michael Saylor has announced they are looking to raise $500 million through a private offering of convertible senior notes. All proceeds made will be used to fund additional purchases of Bitcoin through their corporate Bitcoin accumulation strategy.
Currently MicroStrategy operates as the largest public company holder of Bitcoin and have over 214,400 worth of Bitcoin, or about $15 billion. The accumulation began in 2020 when under Saylor's direction the company adopted Bitcoin as its primary reserve asset. The average purchase price per Bitcoin remains around $35,000 as Bitcoin currently trades for around $68,000.
With their latest $500 million capital raise the company will be selling convertible senior notes to qualified institutional buyers. These notes will be guaranteed to pay interest semi-annually and mature in 2032 unless converted or redeemed earlier. The offering will adhere to Rule 144A of the Securities Act 1933 and is “subject to market conditions and other factors.”
“The notes will be unsecured, senior obligations of MicroStrategy and will bear interest payable semi-annually in arrears on June 15 and December 15 of each year, beginning on December 15, 2024. The notes will mature on June 15, 2032, unless earlier repurchased, redeemed or converted in accordance with their terms.”
Within the announcement, MicroStrategy made it clear that the funds could be used for general corporate purposes, but Bitcoin acquisition remains the priority. The company will also allow initial purchasers an option to buy an additional $75 million in “aggregate principal amount of the notes.” The announcement also noted that “the interest rate, initial conversion rate, and other terms of the notes will be determined at the time of pricing of the offering.“
“MicroStrategy expects that the reference price used to calculate the initial conversion price for the notes will be the U.S. composite volume weighted average price of MicroStrategy’s class A common stock from 9:30 am through 4:00 pm EDT on the date of pricing.”
The Bitcoin-buying obsession made its way into being a Wall Street proxy for Bitcoin itself. The company's stock has began to show alignment with Bitcoin's price movement, and MicroStrategy clearly believes that Bitcoin will continue appreciating over the long term. With the offerings sold under Rule 144A of the Securities Act 1933 it means that the convertible senior notes and any convertible shares of MicroStrategy’s class A common stock will not be officially registered under the Securities and Exchange Commission (SEC). This means they cannot be sold or bought in public markets without specific legal conditions due to not being registered under the SEC.
